The short version
Assure is a platform for brands to send verification codes, approval requests, and trusted messages to their own customers on channels like Apple Messages for Business, Google RCS, and WhatsApp.
If you use it, you agree to: send only messages you're allowed to send, honor opt-outs, don't impersonate anyone, and don't send phishing links. That's most of it.
Who these terms apply to
These Terms are a contract between you and Assure, Inc., a Delaware corporation.
They apply in full to brands using the Assure platform. Limited sections (acceptable use, disclaimers, and governing law) also apply to consumers who receive messages sent through Assure.
The Assure service
Assure provides verified sender identity, trusted-link delivery, and fraud-escalation tooling on top of major messaging platforms. We may add, change, or remove features over time; we won't materially reduce the service you're paying for without notice.
Your account
To use Assure you must be at least 18, legally able to enter contracts, and authorized to bind your organization.
Keep your account info accurate and your credentials confidential. You're responsible for everything that happens under your account. Tell us right away if it's compromised.
Acceptable use
You agree not to use Assure to:
- Send spam or unsolicited marketing.
- Send messages without a lawful basis or prior express consent where required (including under the TCPA, CAN-SPAM, GDPR, or similar laws).
- Phish, impersonate a brand or person, or send deceptive links.
- Ignore STOP / opt-out requests or carrier rules.
- Send content prohibited by applicable law or messaging platform policy — including SHAFT categories (sex, hate, alcohol, firearms, tobacco) where restricted.
- Reverse engineer, resell, or attack the platform.
We can suspend or terminate accounts that break these rules, with or without notice depending on severity.
Brand responsibilities
You're responsible for obtaining and documenting consent from the recipients you contact, maintaining opt-out records, and complying with all laws that apply to your messages — including TCPA, GDPR / UK GDPR, CASL, and any local rules.
You're also responsible for the content of your messages, including any links, and for accurate sender identification within the Assure platform.
For consumers receiving messages
When a brand sends you a message through Assure, Assure acts as a conduit. The brand — not Assure — is responsible for the message's content and for honoring your consent choices. You can always reply STOP to opt out from a brand, or contact them directly using the details in the message.
Fees and billing
Assure is self-service and pay-as-you-go at published per-message rates. Fees are billed in the currency shown at checkout and are exclusive of taxes, which you're responsible for.
Except where required by law, fees are non-refundable. We may change prices with 30 days' notice for future billing periods.
Intellectual property
Assure and its trademarks, software, and documentation belong to Assure, Inc. You get a limited, non-exclusive, non- transferable license to use the service while your account is in good standing.
Your message content stays yours. You give us a limited license to process it as needed to provide the service and keep it secure.
Confidentiality
Each side will protect the other's confidential information with the same care it uses for its own (and no less than reasonable care), and use it only for purposes contemplated by these Terms.
Third-party platforms
Assure delivers messages through Apple Messages for Business, Google Messages / RCS, WhatsApp Business, and SMS aggregators. Their terms apply to messages routed through them, and we can pass through platform-imposed restrictions or fees.
Disclaimers
The service is provided "as is" and "as available." To the maximum extent permitted by law, Assure disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that every message will be delivered.
Limitation of liability
To the maximum extent permitted by law, Assure will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or related to these Terms will not exceed the fees you paid Assure in the 12 months before the event giving rise to the claim.
Indemnification
You'll defend and indemnify Assure against third-party claims arising out of the content of your messages, your use of the service in violation of law or these Terms, or your infringement of another's rights.
Termination
You can close your account at any time. We can suspend or terminate access for material breach, non-payment, or if required by law.
Sections that by their nature should survive termination (payment, IP, confidentiality, disclaimers, limitation of liability, indemnification, governing law) will survive.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
Before filing anything formal, contact us at privacy@assure.chat — most things get resolved that way.
If we can't resolve it, disputes will be settled by binding individual arbitration in Delaware under the AAA Commercial Rules, and you and Assure each waive the right to a jury trial or class action. Either party may still bring a claim in small-claims court where eligible.
Consumers in the EU, UK, and other jurisdictions that grant mandatory rights retain those rights, and may bring claims in their local courts where required by law.
Changes to these terms
We may update these Terms from time to time. If a change is material, we'll notify account holders by email and update the "Last updated" date above before it takes effect. Continued use after the effective date means you accept the change.
